Terms of Service

These Terms of Service (“Terms”) govern your use of the Loftly Studio website and services. By engaging Loftly Studio for software development services, you agree to these Terms.

1. Services

Loftly Studio provides custom software development services including web applications, mobile applications, business automation, API integrations, e-commerce solutions, and ongoing maintenance and support. The specific scope of services for each engagement is defined in a separate Scope of Work document agreed upon before any work commences.

2. Fixed-Price Engagements

All project engagements are offered on a fixed-price basis as defined in the signed Scope of Work. The quoted price covers delivery of all items listed in the scope. Work outside the agreed scope will be separately quoted and must be approved in writing before work begins. We do not charge hourly rates on fixed-scope projects.

3. Payment Terms

Standard payment structure for project engagements:

  • 50% deposit — due before work commences.
  • 25% milestone payment — due at the agreed mid-project milestone.
  • 25% final payment — due upon project delivery and acceptance.

Payments are processed via Paystack. Invoices are issued through the Loftly Studio client portal. Late payments (beyond 7 days of the invoice due date) may result in work being paused until payment is received.

4. Intellectual Property

Upon receipt of final payment, full intellectual property rights to all custom code, designs, and deliverables produced during the engagement transfer to the client. Loftly Studio retains the right to reference the project in our portfolio unless the client requests confidentiality in writing.

Third-party libraries, frameworks, and tools used in the project remain governed by their respective open-source licences.

5. Delivery and Timelines

Estimated delivery timelines are provided in the Scope of Work. Loftly Studio will make all reasonable efforts to meet agreed timelines. Timelines may be affected by factors outside our control, including delays in client feedback, third-party service outages, or changes to project scope. Clients will be notified promptly of any expected delays.

6. Client Responsibilities

For projects to be delivered on time, clients agree to:

  • Provide timely feedback on deliverables — typically within 3 business days of submission.
  • Supply all required assets, credentials, and information promptly.
  • Designate a single point of contact for project communications.
  • Attend scheduled weekly demo calls or provide written feedback in their place.

7. Warranties and Liability

Loftly Studio warrants that work will be performed professionally and that delivered software will function as specified in the Scope of Work. We provide a 30-day post-launch warranty covering defects directly attributable to our implementation.

Loftly Studio's total liability for any claim arising from an engagement shall not exceed the total fees paid for that engagement. We are not liable for indirect, consequential, or incidental damages.

8. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives the termination of the engagement for a period of 2 years.

9. Termination

Either party may terminate an engagement with 14 days' written notice. In the event of termination, the client is liable for payment covering all work completed to that point. Any deposit paid is non-refundable unless Loftly Studio is in material breach of these Terms.

10. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through arbitration in Lagos, Nigeria.
